1. Scope

These terms apply to all contracts between Collective Brain GmbH, Hamburg, Germany, doing business as Mr.Site (the "Provider") and business customers. This offer is not available to consumers.

2. Services

The Provider builds and operates a website for the Client according to the selected plan (Start, Business or Growth). The scope follows the plan description on the website at the time of ordering. SEO and GEO optimization are part of every plan; specific rankings, traffic or business results are not warranted.

3. Contract and Term

The contract becomes effective upon the Client's order and the Provider's confirmation. The Client receives all contract documents automatically by email. The initial term is 12 months from the effective date; thereafter the contract continues month-to-month and may be terminated with 30 days' notice to the end of a month. Notice by email is sufficient.

4. Change Requests

Depending on the plan, 1 (Start), 2 (Business) or 4 (Growth) change requests per calendar month are included, implemented within 48 hours of receipt of the complete message. A change request is one message in text form with up to 5 connected small adjustments to existing content across up to 2 pages (e.g. texts, images, opening hours, prices); the Client delivers the content in final form. If clarification is needed, the deadline is suspended until the Client replies. Each additional request is billed at $49 plus applicable taxes after the Client's prior confirmation in text form; without that confirmation no costs arise and, at the Client's request, the change is implemented in the following month within the allowance then available.

Rebuilds are not covered by the allowance, in particular new pages, changes to design, structure or navigation, new features, additional language versions, and the creation or conception of content. Rebuilds are quoted at a fixed price in advance; work begins only after the Client accepts the quote in text form. Unused change requests expire at the end of the month and do not roll over.

5. Visibility Package (Google Ads)

If the Client books a visibility tier, the monthly amount includes both the advertising budget for Google ads and the Provider's services (setup, ad creation, ongoing management, optimization). The Client receives a monthly results report. The ad account is operated by the Provider. The tier can be cancelled monthly, independent of the website subscription.

6. Fees and Payment

The monthly plan price applies, plus applicable taxes. Payment is due monthly in advance via the payment provider Stripe (card or direct debit).

7. Client Cooperation

The Client provides complete and accurate information required for the website's legal pages and is responsible for the accuracy of the information they provide.

8. Content and Ownership

Content provided by the Client remains the Client's property. For content created by the Provider, the Client receives a non-exclusive license for the contract term. After 24 months, the Client may request the transfer of the complete website (source code and content); the transfer takes place within 30 days.

9. Data Processing

Hosting is provided in Germany under European data protection law (GDPR). Where the Provider processes personal data on the Client's behalf (e.g. contact form enquiries), a data processing addendum applies; it is part of the contract documents and available by email on request.

10. Limitation of Liability

To the maximum extent permitted by law, the Provider's aggregate liability is limited to the fees paid by the Client in the 12 months preceding the claim. Neither party is liable for indirect, incidental or consequential damages. Nothing in this section limits liability for willful misconduct or gross negligence.

11. Governing Law and Venue

For Clients based in the United States, these terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules; exclusive venue lies with the competent courts for Hamburg, Germany, unless mandatory law provides otherwise. For all other Clients, German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; venue is Hamburg, Germany.
